Play Blue Sports Private Limited (“Company”, “we”, “us”, or “our”) is an omnichannel, multi-brand retailer of sports products, operating through its physical retail stores, its website https://www.playblue.com (“Website”) and its ‘PlayBlue’ mobile application, including IOS and Android versions (“App”). The ‘Website’ and the ‘App’ shall collectively be referred to as the “Platform”. The Company, through the Platform, offers and sells (i) products of third-party brands (“Third-Party Products”), which are manufactured by the respective third-party Brand Owner or a third-party manufacturer engaged by or on behalf of such Brand Owner; and (ii) products sold under the Company’s own brand(s) (collectively referred to as "PlayBlue") which may be manufactured by the Company or by third-party manufacturers engaged by or on behalf of the Company (“PlayBlue Products”). The ‘Third-Party Products’ and the ‘PlayBlue Products’ are collectively referred to as "Products”. The Products may include sports equipment, apparel, footwear, accessories and other related products, as well as edible products, including protein supplements, shakes and electrolytes. The Company also provides customer support and other related services in connection with the Products (“Services”).

For the purposes of these Terms of Use, “Manufacturer” means, in relation to any Product, (i) the relevant third-party Brand Owner and/or the third-party manufacturer engaged by or on behalf of such Brand Owner, in respect of Third-Party Products; or (ii) the Company and/or the third-party manufacturer engaged by or on behalf of the Company, in respect of PlayBlue Products, as the case may be. “Brand Owner” means, in relation to a Third-Party Product, the owner of the brand under which such Third-Party Product is marketed and sold.

1. USAGE TERMS

Thank you for visiting our Platform.

When You access our Platform or otherwise interact with the Company through the Platform, You shall be referred to as “User” or “You” or “Your”. By accessing or using the Platform and, where applicable, providing Your acceptance through the consent mechanism made available on the Platform (in the form of a checkbox), You acknowledge that You have read, understood, and agree to be bound by and to adhere to these terms and conditions (“Terms of Use”). If You do not agree to these Terms, You are requested to refrain from accessing or using the Services or our Platform. This electronic record is generated by a computer system and does not require any physical or digital signature.

User’s continued use of the Platform implies that You have read and accepted these Terms of Use. Our Team encourages all Users to read all the Terms of Use thoroughly whenever they opt to avail services from our Platform.

The Platform is owned and operated by Play Blue Sports Private Limited, a company that is formally incorporated under the provisions of the Companies Act, 2013.

These Terms of Use are an electronic record as per the terms of the Information Technology Act, 2000 and rules thereunder as applicable and amended from time to time, and is published in compliance with the provisions relating to electronic records under applicable Indian laws. To the extent that these Terms of Use involve the collection, storage, processing, use, disclosure, or transfer of personal data, such activities shall be governed by the Digital Personal Data Protection Act, 2023, and the rules made thereunder (“DPDP Act & Rules”), as amended or replaced from time to time. Furthermore, You should thoroughly read all the Terms of Use, along with the Policies.

By clicking on the relevant checkbox provided below, You expressly acknowledge that You have read, understood, and agreed to be bound by these Terms of Use, which are made available to the User pursuant to and in accordance with the provisions under the Information Technology Act, 2000 and the rules made thereunder, as applicable.

These Terms of Use shall be read together with the Privacy Policy, Cookie Policy, Shipping Policy, Return and Refund Policy, and any other policies, guidelines or additional terms made available on the Platform from time to time (collectively, “Policies”), each of which forms an integral part of these Terms of Use. Certain features, offers, promotions, sale events, gift cards or loyalty programmes made available on the Platform may be subject to additional terms, which shall apply in addition to these Terms of Use and shall prevail to the extent of any conflict in relation to such feature or offer.

These Terms of Use govern Your access to and use of the Platform and purchases made through the Platform. Purchases made at the Company’s physical retail stores shall be governed by the terms and policies applicable at such stores.

We, as the owner of this Platform, reserve all rights to change the Terms of Use at any point of time. These changes would be effective from the date and time when the changes are posted on the Platform and You shall be notified about such amendments using the contact details provided by You as a part of your user information. Your acknowledgement of such notice and Your confirmation for the same after receipt of the notice shall constitute your acceptance of the amended Terms of Use.

2. CUSTOMER ELIGIBILITY

The Platform can be used by only those people who have the status of legally making a contract as per the Indian Contract Act, 1872. The persons who are deemed to be incompetent of contracting as per the Indian Contract Act, 1872, including minors, undischarged insolvents, etc., are not eligible to place order on the Platform.

By clicking on the check box below and accepting all the Terms of Use, the User of our Platform irrevocably declares and undertakes that he/she is at least 18 years of age and is capable of entering into a contract that is permissible as per the applicable laws.

The Platform is intended for persons who are 18 years of age or older. The Company does not knowingly permit children to create User Accounts or place orders through the Platform. Where the Company processes personal data of a child as permitted under applicable law, such processing shall be undertaken in accordance with the requirements applicable to processing of children’s personal data, including obtaining parental or guardian consent where required.

If You are accessing, browsing and using the Platform on someone else’s behalf, You represent that You have the authority to bind that person to all the terms and conditions herein.

The Platform and Products are intended for Users in India. The Company sells and delivers Products only within India and does not undertake any sale or delivery outside India. The Company shall not be responsible for any products purchased, payments made or information shared through any unauthorised website and/or mobile application, platform or other online channel outside India that purports to sell the Products or represent an association with the Company.

3. PLATFORM INTERACTIONS AND QUERIES

Users may interact with the Company through the Platform by placing orders, submitting enquiries, feedback, reviews, newsletters, product ratings, testimonials and surveys or other interactive features and transactions made available through the Platform. Depending on the functionality made available on the Platform, You may be required to create a User Account to access certain features or place orders.

The User represents and warrants that all information submitted through the Platform, including through account registration, order placement, contact forms, feedback, product reviews, or other interactions on the Platform are true, accurate, complete, and up to date. In the event any information is found to be false, misleading, or incomplete, the Company reserves the right to disregard the submission and decline to engage further, without any obligation to the User.

While submitting information through the Platform, Users expressly consent to the Company collecting, using, storing, and processing such information strictly in accordance with the Privacy Policy and Cookie Policy, both of which form part of these Terms of Use, and in accordance with applicable data protection laws, including the DPDP Act & Rules.

If a User becomes aware that any personal information submitted through the Platform is being misused or that there has been unauthorised access to their information, the User shall promptly notify the Company’s Grievance Officer at the contact details set out in Section 20 of these Terms of Use.

Any unauthorised access to, or misuse of, the Platform by a User may result in the Company restricting or suspending that User’s access to the Platform, with or without prior notice, and without prejudice to any other rights or remedies available to the Company under applicable law, including under the Information Technology Act, 2000.

Users shall not copy, reproduce, download, scrape, extract, publish, distribute, modify, transmit, or commercially exploit any content available on the Platform in a manner that infringes the Company's intellectual property rights or that is otherwise unauthorised, except as expressly permitted by the Company. Incidental reproduction solely for personal and non-commercial use is permitted.

4. PLATFORM CONTENT AND INFORMATION

The Company endeavours to ensure that all information made available on the Platform is accurate, complete, and up to date. However, errors, inaccuracies, or omissions may occasionally occur.

Information relating to the Products, including pricing, availability, promotional campaigns, and other content made available through the Platform may be modified, updated, or discontinued without prior notice.

Product descriptions, specifications, materials, sizes, dimensions, weights, colours, packaging, ingredients, nutritional information and other Product information may be updated or modified from time to time. Users should always refer to the Product label, packaging, size guide, the Manufacturer’s instructions, warning and other information accompanying the Product received with the Product for the most current information, including usage, assembly, installation, care instructions, ingredients, allergen information, recommended serving, best-before or expiry date, storage conditions, warnings, and safety information.

The Company reserves the right to correct typographical errors, inaccuracies, or omissions, and to modify, suspend, or discontinue any content, feature, or functionality available on the Platform at any time without prior notice.

Photographs, videos, graphics and promotional material displayed on the Platform are for informational and illustrative purposes only and may not always represent the final Product or actual experience. Actual Products, colours, packaging and specifications may vary depending on the Manufacturer, production batch or display settings of the User’s device.

Results from use of the Products may vary from person to person depending on factors including the User’s skill level, physical condition, diet, size and fit, frequency and manner of use, playing surface and environmental conditions. Any testimonials, endorsements or performance claims (if any) are illustrative only and should not be construed as guarantees of specific results.

Certain Products, features, offers or Services may be unavailable, may vary by location or pin code, may be offered for a limited period only, or may be subject to separate terms.

5. USER ACCOUNT

Where the Platform permits or requires You to create an account, You shall provide accurate, complete and current information and keep such information updated at all times.

You are responsible for maintaining the confidentiality and security of Your account credentials and for all activities carried out through Your account. You shall promptly notify the Company of any unauthorised access to or use of Your account or any suspected compromise of Your credentials.

You shall not create an account using another person's identity or information, impersonate any person or entity, or permit any other person to access or use Your account, except as expressly permitted by the Company.

The Company reserves the right to suspend, restrict or terminate Your account or access to the Platform, with or without prior notice, where the Company reasonably believes that You have violated these Terms of Use, provided false or misleading information, engaged in unauthorised or fraudulent activity, or where such action is necessary to protect the Platform, the Company or its Users.

You may request closure of Your account at any time by contacting the Company through the details provided under these Terms of Use. Closure of an account shall not affect any rights, obligations or liabilities accrued prior to such closure or any provisions which are intended to survive termination.

6. PLATFORM AND PRODUCT USE

User shall not use automated means, including bots, crawlers, scrapers, or similar technologies to access, monitor, extract, or copy Platform content without the Company’s prior written consent.

Products available on the Platform are for Your personal use only. The Products which You may receive from us shall not be sold or resold for commercial or any other reasons.

The Company reserves the right to refuse, cancel or modify any order, including after confirmation, in the event of stock unavailability, suspected fraudulent or unauthorised transactions, payment failure or discrepancy, errors in Product or pricing information displayed on the Platform, an undeliverable or incorrect shipping address, serviceability limitations, or where the Company reasonably believes that the order is intended for commercial resale, bulk purchase or any purpose other than personal use.

The relevant Manufacturer is responsible for the Product information provided by it, including descriptions, ingredients, specifications, usage instructions, warnings, safety instructions and other Product details.

In the event that any Product ordered or purchased through the Platform has a manufacturing defect or does not conform to the applicable standard specifications for such Product, the relevant Manufacturer, i.e., the Company in respect of PlayBlue Products and the relevant Brand Owner or third-party manufacturer in respect of Third-Party Products, shall be responsible for such defect. Users shall, raise any complaint in relation to a Product, including Third-Party Products, with the Company through the contact details set out in Section 20. The Company shall facilitate the resolution of such complaint, including by coordinating with the relevant Manufacturer, as applicable. Any return, replacement, or refund be subject to the Return and Refund Policy. Nothing in these Terms limits any rights or remedies available to Users under applicable law.

Nothing contained on the Platform constitutes physiotherapy, fitness, nutritional, medical, legal, financial or other professional advice. Users should independently verify such information and consult a qualified professional where appropriate.

Participation in sports and use of sports equipment involve inherent risks, including injury, accident or death. Users are responsible for ensuring that Products are suitable for their intended use and are used, assembled and installed in accordance with the Manufacturer’s instructions, warnings and safety guidelines, including use of appropriate protective gear and adult supervision for children.

Certain Products may include edible Products such as protein supplements, shakes and electrolytes. Such Products are not intended to diagnose, treat, cure or prevent any disease and are not a substitute for a balanced diet. Users should review the label, including ingredients, allergens, recommended serving and expiry date, follow the recommended serving, and consult a qualified medical practitioner before consumption if pregnant, nursing, under 18, taking medication or suffering from a medical condition. Such Products shall be stored as instructed on the label.

Users should inspect Products upon delivery and before each use, including the seal and expiry date of edible Products, and discontinue use of any Product that is damaged, expired, worn out or defective.

Users shall not use the Platform in any manner that may damage, disable, overburden or impair the Platform or interfere with its use by others.

7. RECOMMENDATIONS

Any Product recommendations, size and fit guides, training, nutritional or usage recommendations made available on the Platform are intended solely for general informational purposes and to improve the User's experience. They do not constitute fitness, coaching, nutritional or medical advice, nor do they amount to any endorsement or guarantee by the Company. Users should carefully read the Product labels and consult a qualified medical practitioner or certified trainer where appropriate before using any Product.

8. THIRD PARTY LINKS

The Platform may contain links to third-party Platforms, platforms, or services, including those operated by third- party Manufacturer, Brand Owner, logistics partners, or payment providers, for the convenience of users.

Such third-party Platforms are not owned, operated, or controlled by the Company.

The Company neither endorses nor assumes responsibility for the availability, accuracy, privacy practices, content, or services offered by such third-party Platforms.

Users access such third parties' Platforms entirely at their own risk

Users are responsible for any information they provide to such third parties, and the use of such information shall be governed by the privacy policies and terms of such third parties.

9. DATA PROTECTION AND PRIVACY

The Company may send Platform-related communications necessary for the operation of the Platform and order management. Separately, and only where You have provided independent consent, the Company may send promotional or marketing communications. You may opt out of marketing communications at any time without affecting service communications.

We collect and process Users’ personal data for purposes including fulfilment of orders, responding to queries submitted through the Platform, operating, maintaining and improving the Platform and Services, preventing fraud and misuse, and complying with applicable laws. Such processing shall be carried out in accordance with the Privacy Policy and applicable data protection laws.

Personal data may be shared by the Company with logistics and delivery partners, payment gateways, authorised service providers and other third parties, strictly on a need-to-know basis and solely for the purposes of fulfilling the order, meeting legal or regulatory requirements, or fulfilling obligations under these Terms of Use. Such entities shall process the personal data only on our behalf or for the specified lawful purpose for which it was shared and shall be bound by appropriate contractual obligations to maintain confidentiality, implement reasonable security safeguards, and comply with the applicable data protection laws. In the event of a personal data breach, the Company shall take such measures as may be required under applicable data protection laws.

The Platform may automatically collect certain information about Your device and Your use of the Platform, such as IP address, browser type, device identifiers, pages viewed, search queries, log files and approximate location, to operate, secure and improve the Platform and the Services, in accordance with the Privacy Policy and the Cookie Policy.

By expressly ticking the checkbox provided below for acceptance, you hereby acknowledge, agree, confirm that you have read, understood, agree and consent to be bound by these Terms of Use, and you provide your free, explicit, and informed consent to the collection, use, storage, and processing of such data use as per our Privacy Policy available on our Platform and in accordance with the applicable data protection laws in India.

Personal data of the User shall be retained only for as long as necessary for the purposes for which it is processed or as required or permitted under applicable law, and thereafter securely deleted or anonymized, and any cross-border transfer of personal data shall be in accordance with applicable data protection laws. Users shall have the right to access, correct, update, or erase their personal data, withdraw consent, and seek grievance redressal in accordance with applicable data protection laws, as amended from time to time. Further details regarding such collection, use, access, etc. are set out in the Privacy Policy and Cookie Policy.

We shall implement reasonable security safeguards and procedures to protect the personal data and information provided by the User against unauthorized access, disclosure, alteration, loss, or misuse, in accordance with applicable data protection laws, as amended from time to time. We shall take reasonable steps to ensure that such personal data is stored securely and accessed only on a need-to-know basis by authorized personnel or third-party service providers or Manufacturers, bound by confidentiality obligations.

The Company uses cookies and similar technologies in accordance with its Cookie Policy. Where consent is required under applicable law, the Company shall obtain such consent through the mechanism made available on the Platform.

The Company’s Platform incorporates artificial intelligence and algorithmic systems. Where You interact with any AI-assisted features of the Platform, any outputs generated are probabilistic and designed to support human decision-making. They do not constitute legally significant automated decisions about You as an individual. Further information regarding the use of AI-assisted features, where applicable, shall be provided through the Platform.

10. CONTENT USAGE

While using our Platform, the User undertakes to never display, host, modify, upload, transmit, publish, share, or update any information that:

(a) Belongs to any other person;

(b) Is harassing, harmful, defamatory, blasphemous, pornographic, obscene, and/or invasive to any other individual’s privacy;

(d) Attempts to gain unauthorised access to the Platform;

(e) Infringes the intellectual property rights of the Company, any Manufacturer/Brand Owner, or any third party;

(f) Introduces viruses, malware, malicious code, or other harmful technologies;

(g) Impersonates any entity or person, or falsely misrepresents the affiliation of a user;

(h) Threatens the integrity, unity, sovereignty, and/or security of India in any way;

(i) Uses the Platform for unlawful, fraudulent, or commercial purposes without prior written approval

(j) Constitutes a fake, paid, incentivised or misleading review or rating, or misrepresents the quality or features of any Product;

(k) Violates any applicable law for the time being in force.

As long as You comply with these Terms of Use, We grant You a limited, non-exclusive, non-transferable, revocable, and limited right to access and use the Platform and Your account (where applicable) solely for using and accessing the services.

You agree not to interrupt or attempt to interrupt the operation of the Platform. You also agree not to copy, reproduce, distribute, exchange, modify, create derivative works from, or reverse-engineer, decompile, disassemble, sell, or transmit any content or part of the Platform.

You shall not challenge the validity, enforceability, or ownership of the Platform during or after the tenure of Your use, nor aid any third party in doing so. You shall not circumvent, disable or tamper or modify any security technologies or perform security integrity reviews, penetration tests, load tests, denial-of-service simulations, or vulnerability scans.

Any reviews, ratings, comments, photographs or other content submitted by Users on the Platform (“User Content”) are solely the views of the respective Users and do not represent the views of the Company or any Brand Owner. The Company does not endorse any User Content and may, but is not obliged to, moderate or remove any User Content that violates these Terms of Use or applicable law.

By submitting User Content, You grant the Company a non-exclusive, royalty-free, perpetual, worldwide and sub-licensable licence to use, reproduce, display, publish, adapt and distribute such User Content on the Platform and in connection with the Company’s business, You represent that You own or have the necessary rights to such User Content.

11. LIMITATION OF LIABILITY

Use of the Platform and the Services is entirely at the User’s own risk.

The Platform, and all content made available through them, including product information supplied by Manufacturers, are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, except as required under applicable law.

The Company does not warrant that the Platform will be continuously available, secure, timely, error-free or free from viruses, malware or other harmful components. The Company will use reasonable efforts to maintain the Platform’s availability and security; however, temporary interruptions may occur due to maintenance, technical issues or circumstances beyond the Company’s reasonable control.

To the fullest extent permitted under applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the use of, or inability to use, the Platform, including any reliance placed on any Product purchased by or through the Platform.

Without prejudice to the foregoing, the Company shall not be liable for injury, accident, loss, or damage arising from misuse of any Product, improper assembly, installation, storage or handling, modification or negligent use of any Product, failure to follow the Manufacturer’s instructions, warnings or safety guidelines, consumption of edible Products contrary to the label directions, after the expiry date or despite a known allergy, use of a Product unsuitable for a particular individual or purpose, or participation in inherently risky sporting activities. Users are responsible for carefully reading the Product labels, usage instructions and safety warnings before using any Product.

Subject to applicable law and without prejudice to any rights or remedies that cannot be limited or excluded under applicable law, the aggregate liability of the Company for any claim arising out of or in connection with these Terms of Use, the Platform or any Product shall not exceed the amount actually paid by the User for the Product giving rise to such claim.

Nothing in this Section shall be construed to limit or exclude any liability, right, or remedy that cannot be limited or excluded under applicable consumer protection law, including the Consumer Protection Act, 2019 and the rules made thereunder, and this Section shall apply only to the extent permitted by such law.

12. MODE OF PAYMENT

Where the Platform offers Products for purchase, payments may be made through the payment methods made available on the Platform from time to time, including:

(1) Debit Card

(2) Credit Card

(3) Net Banking

(4) Unified Payment Interface (UPI)

(5) Wallets/E-wallets

(6) Cash on Delivery (subject to availability and order value limits)

All payments shall be processed through authorised third-party payment service providers. The Company shall not be responsible for any delay, failure, or unauthorised transaction attributable to any third-party payment service provider.

The User represents and warrants that they are authorised to use the chosen payment method and that all payment information provided is accurate and complete.

The Company reserves the right to add, modify, suspend, or discontinue any payment method at any time. Unless otherwise stated, all applicable taxes, delivery charges, and other charges shall be borne by the User.

All payments shall be made in Indian Rupees. The Company does not store complete debit or credit card details of Users, which are processed by authorised payment aggregators in accordance with the applicable guidelines of the Reserve Bank of India.

Refunds, where applicable, shall be credited to the original mode of payment, or such other mode as may be agreed with the User, within the timelines specified in the Return and Refund Policy.

13. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, exchanges, refunds, and cancellations of Products, including applicable timelines and conditions, shall be governed by the Company's Refund and Return Policy available on the Platform, as may be updated from time to time, including restrictions applicable to edible Products and other products that are non-returnable due to hygiene or safety reasons. Where a Product is defective, damaged, or does not conform to its description, the User may raise the complaint with the Company in the first instance, and the Company shall facilitate the applicable return, replacement or refund and, where relevant, coordinate with the Manufacturer or Brand Owner as provided under Section 6 of these Terms of Use, without prejudice to any rights or remedies available to the User under applicable law.

14. INDEMNITY

To the extent permitted under applicable law, the User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, affiliates, shareholders, employees, and agents from any losses, damages, liabilities, claims, penalties, proceedings (civil or criminal), fines, or expenses (including reasonable legal costs) arising out of or in connection with:

breach of obligations, representations, warranties, or covenants under the Terms of Use;

unlawful or illegal use or misuse of the Platform;

any act, omission, misconduct, or negligence of the User;

violation of any applicable law, regulation, or governmental directive by the User;

infringement or alleged infringement of any intellectual property or other proprietary rights arising from the User's acts or omissions.

The indemnity obligations under this Section shall survive the completion or termination of the Services and these Terms of Use.

15. INTELLECTUAL PROPERTY RIGHTS

The Platform, these Terms of Use, and all intellectual property rights therein are owned by, licensed to, or otherwise lawfully used by Play Blue Sports Private Limited. The Company retains all rights, title, and interest in and to the Platform and its content, which are protected under applicable intellectual property laws, including copyright, trademark, patent, trade secret, and other proprietary rights. Nothing in these Terms of Use or on the Platform shall be construed as conferring any licence or right in favour of any User, except the limited right to access and use the Platform in accordance with these Terms of Use.

Unless otherwise expressly stated, all content made available on the Platform, including the Company’s name, logo, trademarks, service marks, graphics, text, photographs, videos, software, designs, databases, and other materials, are owned by, licensed to, or otherwise lawfully used by the Company and are protected under applicable intellectual property laws.

All trademarks, logos, trade names, and product names or Brand Owners, other third parties displayed on the Platform belong to their respective Brand Owners, and their appearance does not imply any sponsorship, endorsement, or affiliation with the Company unless expressly stated.

Users shall not copy, reproduce, modify, adapt, publish, distribute, transmit, communicate to the public, create derivative works from, commercially exploit, or otherwise use any content available on the Platform, in whole or in part, without the prior written consent of the Company or the respective rights holder. The Company does not grant any licence or other right to use its trademarks, trade names, logos, service marks, or other proprietary materials except as expressly permitted in writing. Any unauthorised use, reproduction, or exploitation of the Company's intellectual property may result in civil and/or criminal liability under applicable law.

16. TERMINATION AND SUSPENSION

These Terms of Use shall remain in effect until terminated by the User or the Company. The User may terminate these Terms of Use at any time by ceasing to use the Platform and, where applicable, requesting closure of the User’s account.

Your right to access and use the Platform shall automatically terminate, without notice, if You fail to comply with any of these Terms of Use, and the Company may immediately suspend or revoke Your access to the Platform and Your account.

Termination shall not affect any rights, obligations or liabilities accrued prior to termination, including in respect of orders already placed, and the provisions which by their nature are intended to survive termination, including indemnity, limitation of liability, intellectual property and dispute resolution, shall survive.

17. FORCE MAJEURE

The Company shall not be liable for any delay or failure in the performance of its obligations, including the delivery of Products, arising from causes beyond its reasonable control, including acts of God, war, civil unrest, epidemic, pandemic, natural disasters, fire, flood, strikes, electrical or internet outages, logistics disruptions, cyber incidents, or orders or restrictions of any governmental authority. In such event, the Company shall make reasonable efforts to inform the User and, where an order cannot be fulfilled, refund any amount paid for such order in accordance with the Return and Refund Policy.

18. MISCELLANEOUS

The failure or delay of the Company to insist upon or enforce strict compliance with any provision of these Terms of Use shall not constitute a waiver of any of its rights.

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

The User shall not assign or transfer any rights or obligations under these Terms of Use. The Company may assign or transfer its rights and obligations under these Terms of Use to any affiliate or successor without prior notice to the User.

These Terms of Use, together with the Policies, constitute the entire agreement between the User and the Company with respect to the use of the Platform and supersede all prior understandings in this regard.

Communications to the User shall be sent to the email address, phone number or other contact details provided by the User, and communications to the Company shall be sent to the contact details set out in Section 20 of these Terms of Use.

19. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the laws of India. Subject to applicable law, the courts at Gujarat, India shall have exclusive jurisdiction over all disputes arising out of or relating to these Terms of Use or the use of the Platform.
